1. Introduction

Welcome to Dispence Bot ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our Telegram-based cryptocurrency trading bot and related services, including our website located at dispence.cash/terms-of-service (collectively, the "Services"). The Services include AI-powered token analysis, automated trading features (auto-sniping, limit orders, stop-loss, trailing stops), multi-wallet management, and support for multiple blockchain networks including Solana, Ethereum, Base, and Binance Smart Chain (BSC). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use our Services.

2. Eligibility and Acceptance

  • You are at least 18 years old or of legal age to form a binding contract.
  • You have full legal capacity and authority to enter into these Terms.
  • Your use of the Services does not violate any applicable laws or agreements.
  • You are not a resident or located in any Restricted Jurisdiction (as defined below).

3. Restricted Jurisdictions

3.1 Prohibited Jurisdictions

Our Services are not intended for use by individuals or entities in jurisdictions where their use would be illegal or otherwise violate any applicable law or regulation. This includes, but is not limited to: Algeria, Belarus, Bolivia, Cuba, Crimea Region, Democratic Republic of Congo, Iran, Iraq, Ivory Coast, Liberia, Libya, North Korea, Somalia, Sudan, Syria, Venezuela, Yemen, Zimbabwe.

3.2 Representation and Warranties

  • You are not a resident or located in any Restricted Jurisdiction.
  • You are not subject to any sanctions imposed by the United States, UN, or other authority.
  • You will not use any technology (e.g. VPN) to circumvent these restrictions.

4. Account Registration

4.1 Account Creation

  • Provide accurate, current, and complete information during the registration process.
  • Update your information promptly to keep it accurate and complete.
  • Maintain the security and confidentiality of your Account credentials.
  • Accept responsibility for all activities that occur under your Account.

4.2 Account Security

You are solely responsible for safeguarding your Account credentials, including private keys, seed phrases, and any other authentication information. We are not liable for any loss or damage arising from your failure to protect your credentials.

4.3 Unauthorized Access

You agree to notify us immediately at support@dispence.cash if you suspect any unauthorized access to or use of your Account.

5. Use of the Services

5.1 Third-Party Services

  • We do not control or operate any Third-Party Services accessible through the Services.
  • All transactions are executed by Third-Party Services not controlled by us.
  • We are not responsible for any issues, losses, or damages arising from your use of Third-Party Services.

5.2 No Control Over Transactions

  • Transactions are irreversible once initiated.
  • We do not guarantee the identity of any user, receiver, or other party in any transaction.
  • You are solely responsible for verifying the accuracy and legality of your transactions.

5.3 Compliance with Third-Party Terms

Your use of Third-Party Services is subject to their respective terms and conditions. You are responsible for reviewing and complying with those terms.

5.4 Automated Trading Features

The Services include automated trading capabilities that execute transactions without requiring manual confirmation for each trade once enabled by you. These features include:

- Auto-Sniping: Automatically purchases tokens at launch or listing based on predefined criteria
- Limit Orders: Executes buy/sell orders when specified price conditions are met
- Stop-Loss Orders: Automatically sells positions when price drops to specified levels
- Trailing Stop Orders: Dynamically adjusts stop-loss levels based on price movement

You acknowledge and agree that:

a) Automated features execute immediately upon meeting trigger conditions without additional user confirmation
b) You can enable, disable, or modify automated features at any time through the bot interface
c) Execution timing and success depend on network congestion, gas/priority fees, and blockchain conditions
d) We are not liable for failed executions, slippage, delayed transactions, or MEV (Miner Extractable Value) attacks
e) Stop-loss and limit orders are not guaranteed to execute at specified prices due to market volatility and liquidity
f) Auto-sniping may result in purchasing tokens that decrease in value or become worthless
g) You are solely responsible for configuring and monitoring all automated trading parameters

5.5 MEV Protection

We provide MEV (Miner Extractable Value) protection by default on all EVM-compatible chains (Ethereum, Base, BSC) to help reduce the risk of front-running and sandwich attacks. However, you acknowledge and agree that:

a) MEV protection does not guarantee complete safety from all forms of MEV attacks
b) MEV protection may not be effective against all attack vectors or sophisticated exploits
c) Transactions may still be subject to MEV extraction despite protective measures
d) We are not liable for any losses resulting from MEV attacks, whether or not MEV protection is enabled

For Solana transactions, custom MEV protection settings are available in the bot interface. You are solely responsible for configuring these settings according to your risk tolerance and trading strategy.

6. Fees and Payments

6.1 Service Fees

While the typical service fee is ~1%, trading fees range from 0.5% to 2.5% per trade, depending on:
- Specific features utilized (auto-sniping, AI filtering, advanced order types)
- DEX, aggregator and other third party services used to execute transactions
- Infrastructure and operational costs
- Network being used (Solana, Ethereum, Base, BSC)
- Other varying factors related to service delivery

Service fees are automatically deducted from your transaction amounts at the time of execution.

6.2 Fee Transparency

The applicable fee for each transaction can be verified on the respective blockchain explorer (Solscan for Solana, Etherscan for Ethereum, Basescan for Base, BscScan for BSC) via the transaction hash link. By using the Services, you acknowledge and accept the applicable fee structure.

6.3 Network and Blockchain Fees

In addition to Service Fees, you are responsible for all blockchain network fees, including but not limited to:
- Gas fees (Ethereum, Base, BSC)
- Priority fees (Solana)
- Smart contract interaction costs
- Built-in token taxes or transfer fees imposed by token contracts

Network fees are paid directly to blockchain validators and are not collected by Dispence Bot. Network fee spikes can occur on any blockchain network at any time and may make transactions economically unviable. Token contracts may include built-in buy/sell taxes, transfer restrictions, or other fees that are beyond our control.

6.4 Referral Commissions

Participants in our Referral Program generally receive approximately 50% of the Service Fees generated by referred users' trading activity, based on an average fee of approximately 1%. Actual commission rates may vary and are subject to change at any time without notice. Commission structures and rates are provided separately in the Referral Program terms.

6.5 Fee Modifications

We reserve the right to modify our fee structure at any time without notice. By creating a wallet and using the Services, you agree that these Terms and all associated policies, including fee structures, may be changed at any time. Continued use of the Services after any changes constitutes acceptance of the modified terms.

6.6 No Refunds

All fees are non-refundable once a transaction is executed on the blockchain, except in cases of verifiable technical errors caused directly by our Services.

7. Referral Program

  • Participation is subject to additional terms provided separately.
  • We reserve the right to modify or cancel the Referral Program at any time without notice.

8. Intellectual Property Rights

8.1 Ownership

All content, materials, and services provided through the Services—including text, graphics, logos, software, and trademarks—are the property of Dispence Bot or its licensors and are protected by intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

8.3 Restrictions

  • You may not reproduce, distribute, modify, or create derivative works of the Services without our prior written consent.
  • You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services.
  • You may not use our trademarks without our prior written permission.

9. Feedback

By submitting feedback, comments, or suggestions ("Feedback") to us, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and distribute such Feedback for any purpose, without compensation to you.

10. Prohibited Uses

10.1 Compliance with Laws

You agree not to use the Services in any way that violates any applicable federal, state, local, or international laws or regulations.

10.2 Prohibited Activities

  • Engage in fraudulent, deceptive, or manipulative activities.
  • Introduce viruses, trojan horses, worms, or other malicious code.
  • Gain unauthorized access to our systems or data.
  • Use automated means (e.g., bots, spiders) to access the Services without authorization.
  • Participate in market manipulation or any form of illegal trading activities.
  • Use the Services to promote or engage in terrorist financing or money laundering.
  • Use the Services in or from any Restricted Jurisdiction.
  • Assist any Restricted Person or entity in accessing the Services.

11. Security Risks and Disclaimers

11.1 No Guarantee of Security

We do not guarantee the security of the Services or your digital assets. You acknowledge and accept the risks associated with transmitting information over the internet.

11.2 Transmission of Keys

You acknowledge that private keys and seed phrases may be transmitted unencrypted over the internet, and you accept the associated risks.

11.3 Release of Liability

  • You hereby release and hold harmless Dispence Bot and its affiliates from any losses or damages arising from unauthorized access to your Account.
  • Loss or theft of your private keys or seed phrases.
  • Security breaches or vulnerabilities in the Services.

11.4 Impersonation and Scam Protection

You acknowledge and agree that:

a) Official Bot: The only legitimate Dispence Bot is @DispenceBot on Telegram. Any other bot claiming to be Dispence is fraudulent.

b) Official Support Channel: All customer support is provided exclusively through our public Telegram community group at @dispence_community. We will never initiate direct messages for support purposes.

c) No Direct Message Support: Any unsolicited direct messages claiming to be from Dispence Bot, our team members, or customer support are fraudulent. We are not responsible for losses resulting from responding to such scam messages.

d) Unofficial Bot Versions: Numerous scam versions and clones of our bot exist on Telegram. We are not responsible for any losses incurred from using unofficial, fake, or cloned versions of Dispence Bot. Always verify you are using @DispenceBot.

e) Credential Security: You are solely responsible for protecting your Telegram account login credentials and wallet recovery phrases. We are not liable for losses resulting from:
- Sharing your Telegram login credentials with anyone
- Disclosing your wallet recovery phrase or seed phrase to anyone
- Falling victim to phishing attacks or social engineering
- Being deceived by impersonators claiming to be Dispence support staff

f) Verification Responsibility: You are responsible for verifying you are using the legitimate Dispence Bot (@DispenceBot) and interacting only with official channels (@dispence_community for support).

g) No Recovery: We cannot recover funds lost to scams, phishing attacks, or compromised credentials.

12. Third-Party Services and Content

We do not endorse or assume responsibility for any Third-Party Services or content accessible through the Services.

13. No Financial or Investment Advice

13.1 Informational Purposes Only

All information provided through the Services is for informational purposes only and should not be construed as financial, investment, or legal advice.

13.2 No Fiduciary Relationship

Your use of the Services does not create any fiduciary or advisory relationship between you and Dispence Bot.

13.3 Professional Advice

You should consult qualified professionals before making any investment decisions.

13.4 AI-Generated Analysis and Recommendations

Our Services utilize artificial intelligence and machine learning algorithms to analyze tokens and provide trading recommendations, including but not limited to token filtering for auto-sniping opportunities.

You acknowledge and agree that:

a) AI-generated analysis is based on historical data, pattern recognition, and statistical models
b) AI recommendations are not guarantees of future performance or profitability
c) AI systems may produce false positives (recommending poor tokens) or false negatives (missing good opportunities)
d) AI models are continuously updated and may change behavior without notice
e) AI cannot predict unprecedented market events, rug pulls, smart contract exploits, or other unforeseen circumstances
f) You should independently verify all AI-generated insights before making trading decisions
g) We make no warranties regarding the accuracy, completeness, or profitability of AI-generated recommendations
h) Past AI performance does not guarantee future results

14. Risks Associated with Cryptocurrency Trading

14.1 Market Volatility

  • Cryptocurrency markets are highly volatile.
  • Prices can fluctuate significantly in a short period.
  • Trading involves a significant risk of loss.

14.2 Sole Responsibility

You are solely responsible for your trading decisions and assume all risks associated with cryptocurrency trading.

14.3 No Liability for Losses

We are not liable for any losses incurred due to market fluctuations, trading activities, or your use of the Services.

14.4 Multi-Chain and Cross-Chain Risks

  • Each blockchain network (Solana, Ethereum, Base, BSC) has unique technical vulnerabilities and risks
  • Network congestion can cause transaction delays or failures on any blockchain
  • Smart contract risks vary by blockchain platform
  • Bridge protocols used for cross-chain operations may fail or be exploited
  • Different networks have varying levels of decentralization and security
  • Gas fee and priority fee spikes can occur on any blockchain network at any time and may make transactions economically unviable
  • Token contracts may include built-in taxes, blacklists, or transfer restrictions that affect your transactions

14.5 Automated Trading Risks

  • Automated systems may execute unintended or erroneous trades due to misconfiguration
  • System delays or failures during high volatility periods can result in significant losses
  • Auto-sniping may purchase tokens that immediately lose value or are part of scams (honeypots, rug pulls)
  • Stop-loss orders may execute at prices significantly worse than set levels during flash crashes
  • MEV (Miner Extractable Value) attacks and front-running can reduce profitability despite protection measures
  • Slippage may substantially exceed expectations, especially for low-liquidity tokens
  • Automated features may execute trades while you are unable to monitor or intervene

14.6 AI and Machine Learning Risks

  • AI predictions and recommendations may be inaccurate or misleading
  • AI models are trained on historical data that may not reflect future market conditions
  • Model bias based on training data may lead to systematic errors
  • AI cannot account for black swan events, regulatory changes, or market manipulation
  • Overfitting to past data may cause poor performance in new market conditions
  • AI systems may be adversely affected by adversarial attacks or data poisoning

15. Taxes

15.1 Tax Obligations

  • Determining your tax obligations related to your use of the Services.
  • Reporting and paying any applicable taxes to the appropriate tax authorities.

15.2 No Tax Advice

We do not provide tax advice and are not responsible for determining whether taxes apply to your transactions.

16. Privacy Policy

16.1 Privacy Policy Incorporation

Your use of the Services is also subject to our Privacy Policy, which is available at dispence.cash/privacy-policy. By using the Services, you consent to the practices described in the Privacy Policy.

16.2 Data Usage for AI Model Training

To improve our AI-powered features, we may use anonymized and aggregated trading data from user interactions. Specifically:

a) We collect anonymized data on token selections, trading outcomes, and market conditions
b) Personal identifying information is never used in AI training datasets
c) All data used for AI training is aggregated and cannot be traced back to individual users
d) You may opt out of having your anonymized trading data used for AI improvement by contacting support@dispence.cash
e) Opting out of AI data collection does not affect your ability to use any Services features
f) AI models may retain learned patterns from historical data even after individual user data deletion

17. Disclaimer of Warranties

17.1 "AS IS" and "AS AVAILABLE"

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied.

17.2 Disclaimed Warranties

  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy
  • Quiet enjoyment

17.3 No Warranty of Uninterrupted Use

  • The Services will meet your requirements.
  • The Services will be uninterrupted, timely, secure, or error-free.
  • Any errors or defects will be corrected.

18. Limitation of Liability

18.1 Exclusion of Certain Damages

To the fullest extent permitted by law, in no event shall Dispence Bot or its affiliates be liable for any:
  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, use, goodwill, or other intangible losses.
  • Losses resulting from automated trading execution, including auto-sniping, stop-loss, or limit orders
  • Losses from AI-generated recommendations or token filtering decisions
  • Losses from MEV attacks, front-running, or sandwich attacks despite MEV protection
  • Losses from blockchain network congestion, failed transactions, or excessive gas/priority fees
  • Losses from smart contract vulnerabilities, token taxes, or transfer restrictions on any supported blockchain
  • Losses from cross-chain bridge failures or exploits
  • Losses from impersonation scams, phishing attacks, or use of fraudulent bot versions
  • Losses from compromised Telegram accounts or disclosed recovery phrases

18.2 Cap on Liability

Our total liability to you shall not exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the liability.

18.3 No Liability for Third Parties

  • Unauthorized access to or alteration of your transmissions or data.
  • Statements or conduct of any third party on the Services.
  • Any Third-Party Services or content.

19. Indemnification

You agree to defend, indemnify, and hold harmless Dispence Bot and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:

  • Your access to or use of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.

20. Termination and Suspension

20.1 Termination by Us

  • Suspend or terminate your access to the Services at any time, with or without cause, and with or without notice.
  • Terminate your Account for any violation of these Terms or applicable laws.

20.2 Effect of Termination

  • Your right to access and use the Services will immediately cease.
  • Any provisions of these Terms that by their nature should survive termination shall remain in effect.

20.3 No Liability

We are not liable for any losses or damages arising from the termination or suspension of your access to the Services.

20.4 Data Retention After Termination

Upon termination of your Account:

a) Your trading history and transaction records may be retained for operational, dispute resolution, and legal compliance purposes
b) Anonymized trading patterns may remain in our AI training datasets indefinitely
c) You may request data deletion by emailing support@dispence.cash, subject to our legal obligations
d) Certain data may be retained to comply with legal, regulatory, or tax obligations
e) Blockchain transaction records are permanent and cannot be deleted by Dispence Bot
f) Data retention periods may vary based on the type of data and applicable legal requirements

21. Changes to the Terms and Services

21.1 Modification of Terms

We may modify these Terms at any time by posting the updated Terms on our website or through the Services. Changes are effective immediately upon posting.

21.2 Notification of Changes

We will make reasonable efforts to notify you of significant changes, but it is your responsibility to review the Terms regularly.

21.3 Acceptance of Changes

Your continued use of the Services after any changes to the Terms constitutes your acceptance of the new Terms.

21.4 Modification of Services

We may modify or discontinue any part of the Services at any time without prior notice or liability.

22. Governing Law and Jurisdiction

22.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

22.2 Jurisdiction

Subject to the arbitration provisions below, you agree to submit to the exclusive jurisdiction of the courts located in the United States to resolve any legal matter arising from these Terms or the Services.

23. Dispute Resolution and Arbitration

23.1 Amicable Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the dispute amicably through good-faith negotiations within sixty (60) days of notification.

23.2 Binding Arbitration

If the dispute is not resolved through amicable negotiations, it shall be finally settled under the Rules of Arbitration of the American Arbitration Association ("AAA") by one or more arbitrators appointed in accordance with said Rules.

23.4 Final and Binding

24. Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

25. Limitation on Time to File Claims

Any claim related to these Terms or the Services must be filed within 6 (six) months after the cause of action accrues. Failure to file a claim within this period shall result in the claim being permanently barred.

26. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

27. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

28. Entire Agreement

These Terms, along with our Privacy Policy and any additional agreements or policies incorporated by reference, constitute the entire agreement between you and Dispence Bot regarding the Services and supersede all prior agreements.

29. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time without notice or consent.

30. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, or any other force majeure event.

31. Language

These Terms are drawn up in English. If they are translated into any other language, the English version shall prevail in the event of any inconsistencies.

33. Acknowledgment

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. Please read these Terms carefully before using the Services. Your use of the Services signifies your acceptance of these Terms.

Appendix A: Definitions

  • Email: support@dispence.cash
  • Account: a unique account created for you to access our Services.
  • Affiliate: any entity that directly or indirectly controls, is controlled by, or is under common control with Dispence Bot.
  • AI Features: Machine learning algorithms and artificial intelligence systems used for token analysis, filtering, and trading recommendations.
  • Automated Trading: Trading features that execute transactions automatically based on predefined conditions without manual confirmation for each trade.
  • Dispence Bot: the Company offering the Services.
  • Confidential Information: all non-public information disclosed by us, including but not limited to business plans, technology, and customer information.
  • Digital Assets: cryptocurrencies or other blockchain-based assets.
  • MEV Protection: Technical measures implemented to reduce the risk of Miner Extractable Value attacks, including front-running and sandwich attacks.
  • Multi-Chain: The ability to trade across multiple blockchain networks including Solana, Ethereum, Base, and BSC.
  • Network Fees: Blockchain transaction costs including gas fees (Ethereum, Base, BSC), priority fees (Solana), and validator fees paid directly to network participants.
  • Restricted Jurisdictions: has the meaning set forth in Section 3.
  • Service Fees: Fees charged by Dispence Bot for use of the Services, ranging from 0.5% to 2.5% per transaction.
  • Services: has the meaning set forth in Section 1.
  • Third-Party Services: has the meaning set forth in Section 5.1.

Appendix B: Risk Disclosure

By using our Services, you acknowledge and accept the risks associated with Digital Assets and blockchain technology.

B.1 Market Risks

  • Volatility: The prices of Digital Assets are highly volatile.
  • Liquidity: Markets may lack sufficient liquidity.
  • Regulatory Risk: Regulatory changes could adversely affect Digital Assets.

B.2 Technological Risks

  • Security Flaws: Digital Assets may have vulnerabilities.
  • Network Forks: Protocol changes can affect the value of Digital Assets.
  • Cyber Attacks: Risk of hacking and theft.

B.3 Legal Risks

  • Legal Uncertainty: Laws and regulations regarding Digital Assets are evolving.
  • Tax Obligations: Tax treatment of Digital Assets may vary.

B.4 Operational Risks

  • Human Error: Mistakes can result in loss.
  • System Failures: Technical issues may disrupt Services.
